I am by no means an expert, but to my understanding each component you attach to the motherboard fits only specific motherboards. So you probably should check if the new one you plan on buying supports the RAM (and processor?) you already have. HDD and any of the ROMs should be fine.
Also, PCI is old and extremely limited. I have 2 PCI slots on my motherboard (Dell Dimension 310) and have been trying for over a week now to get a decent video card that will allow me to do 25-man raids with more than 2 FPS. Now, PCI-E (PCI Express) is significantly better. Correct me if I am wrong, but I think PCI-E slot is compatible with both PCI and AGP cards.
Just a few tips, so you avoid the frustration I went through.

I just upgraded my hardware and yes, you're right, that if you upgrade the motherboard to a PCI-E, you're going to have to upgrade the memory and the CPU as well. The old ones will not be compatable with the new motherboard.
I would suggest checking Newegg.com for new gear. Cheap items and quick delivery.
If you still have capacity, you're cheapest upgrade will be more memory.
Barring that, you can try searching for a better AGP video card with more memory.
Don't forget to try updating your bios and drivers for your motherboard and video card. That might aid as well.
Good luck.
